1. Acceptance of These Terms

These Terms of Use ("Terms") are a legally binding agreement between you ("you," "your," or "User") and Obed Salas, an individual doing business as "LetSale" ("LetSale," "we," "us," or "our"), concerning your access to and use of the LetSale iOS application, website, and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all users of the Service, including users who create or advertise sales, users who browse or attend sales, and users who view or search sale listings on the LetSale website without creating an account ("Visitors").

By accessing the LetSale website or application, including as a Visitor, you agree to be bound by these Terms to the extent applicable to your use.

2. Eligibility

You must be at least 18 years old to create an account or use LetSale.

By using LetSale, you represent and warrant that:

You are at least 18 years old.
You have the legal capacity to enter into these Terms.
The information you provide to LetSale is accurate and current.
You will comply with these Terms and all applicable laws and regulations.

LetSale is not intended for individuals under 18 years of age.

3. Accounts and Visitor Access

You do not need to create an account to view or search sale listings on the LetSale website. Browsing and searching sales as a Visitor is available without registration.

Certain features — including creating a sale, boosting or joining a sale, following another user, reporting content, and any other interactive feature — require you to create an account. LetSale accounts are created and authenticated using a valid email address and password.

As a Visitor, you still must meet the eligibility requirements in Section 2 and comply with the applicable provisions of these Terms, including Sections 7 (Prohibited Items and Activities), 8 (Prohibited Conduct), 14 (Intellectual Property), 18–21 (disclaimers and liability), and 22 (Dispute Resolution). Provisions that specifically reference "your account," "your User Content," or similar account-based language do not apply to you as a Visitor unless and until you create an account.

If you create an account, you are responsible for:

Providing accurate account information.
Maintaining the security of your account credentials.
Keeping your account information current.
All activity occurring through your account.
Promptly notifying LetSale if you believe your account has been accessed or used without authorization.

You may not use another person's account, impersonate another person or organization, or provide false information to create or maintain an account. Unless LetSale expressly permits otherwise, you may maintain only one account. You may not sell, transfer, or otherwise provide your account to another person.

4. The LetSale Platform

LetSale provides a platform that allows users to discover, advertise, and share information about yard sales and other permitted sales.

LetSale is a technology platform and is not a party to transactions or interactions between users. LetSale does not own, sell, purchase, possess, inspect, deliver, or guarantee any items advertised through the Service.

LetSale does not guarantee:

That a listed sale actually exists.
That a sale will occur at the advertised time or location.
That a seller owns or has authority over the property or items advertised.
That information provided by users is accurate or complete.
The quality, safety, legality, authenticity, condition, or availability of any item.
That a buyer or seller will attend a sale.
The identity, conduct, or behavior of another user.
That any interaction or transaction between users will be completed successfully.

Any transaction, exchange, purchase, or other arrangement between users is solely between those users.

5. Creating and Advertising Sales

Users who create or advertise a sale through LetSale are responsible for ensuring the sale is legitimate and that they have the legal right and appropriate authorization to conduct or advertise it.

By creating a sale, you represent and warrant that:

You own the property where the sale is being held, or have permission from the property owner or other person legally authorized to permit the sale.
You are authorized to advertise the sale.
The sale information you provide is accurate and not misleading.
The address and other location information you provide is accurate.
The date and time information you provide is accurate.
You will update or remove information that becomes materially inaccurate.
The sale and items advertised comply with applicable laws and regulations.
You will not create a sale at another person's property without authorization.

You may not create fake, fraudulent, misleading, or unauthorized sales. LetSale may remove a sale or restrict an account when we reasonably believe a sale is unauthorized, fraudulent, misleading, unlawful, or otherwise violates these Terms.

6. User Content and Listings

The Service allows users to submit or publish content, including sale information, item descriptions, sale addresses, usernames, display names, and other materials ("User Content"). LetSale does not currently support uploading photographs to listings or profiles; users may instead select a color avatar for their profile.

You are solely responsible for the User Content you submit or publish. You represent and warrant that:

You have the necessary rights and permissions to submit the User Content.
Your User Content does not knowingly contain false or misleading information.
Your User Content does not violate applicable law.
Your User Content does not infringe another person's intellectual property, privacy, or other rights.
Your User Content does not contain malicious software or other harmful material.

Sale listings, including the sale address and approximate map location, are visible to other LetSale users as part of the core functionality of the Service. LetSale does not endorse or guarantee User Content submitted by users.

7. Prohibited Items and Activities

You may not use LetSale to advertise, promote, facilitate, or arrange unlawful activities or the sale of items prohibited by applicable law. You may not use the Service to:

Advertise stolen property.
Advertise counterfeit goods.
Advertise illegal drugs or controlled substances.
Advertise firearms, weapons, explosives, or other prohibited items where prohibited by LetSale or applicable law.
Advertise unlawful services or activities.
Facilitate fraud, scams, theft, or other unlawful conduct.
Create an unauthorized sale at someone else's property.
Create a fake or misleading sale.
Misrepresent ownership or authority over property or items.
Use the Service to violate another person's rights.

LetSale may establish additional prohibited-item or community rules from time to time.

8. Prohibited Conduct

You agree not to:

Harass, threaten, stalk, intimidate, or abuse another user.
Impersonate another person or organization.
Provide materially false or misleading information.
Use LetSale for fraudulent or unlawful purposes.
Attempt to gain unauthorized access to another user's account or the Service.
Circumvent authentication or security measures.
Interfere with the operation of the Service.
Introduce malware, viruses, or other harmful code.
Scrape, harvest, or collect user information without authorization.
Use automated systems, bots, or other methods to access the Service in a manner that violates our policies or interferes with the Service.
Reverse engineer, decompile, or disassemble the Service except to the extent such activity cannot legally be restricted.
Use boosts, joins, follows, reports, or any other feature to abuse, manipulate, or mislead other users, or to artificially inflate a listing's visibility or engagement.
Attempt to manipulate, abuse, or circumvent LetSale's reporting or moderation systems.
Use the Service to send spam or unsolicited communications.
Use another person's personal information without authorization.
Encourage or assist another person in violating these Terms.

9. User Interactions and Personal Safety

LetSale allows users to discover sales, boost and join other users' sales, follow other users, and interact with other users' listings. LetSale does not offer in-app messaging or chat between users. Through public listing information, LetSale gives users the seller's address for the purpose of attending the sale.

You are solely responsible for your decisions and interactions with other users. LetSale does not conduct background checks or guarantee the identity, trustworthiness, safety, or conduct of any user. When attending or hosting a sale, you should exercise reasonable caution and make your own decisions regarding personal and property safety. You should not enter private property without permission.

LetSale is not responsible for injuries, property damage, theft, disputes, misconduct, or other harm arising from interactions between users, except to the extent liability cannot legally be excluded.

10. Reporting and Content Moderation

LetSale provides tools that allow users to report sales, accounts, User Content, or other activity that they believe violates these Terms or creates a safety concern. Reports should be made honestly and in good faith.

LetSale may, but is not required to:

Investigate reports.
Remove or restrict User Content.
Hide or remove a sale.
Restrict access to certain features.
Suspend an account.
Terminate an account.
Take other actions that LetSale reasonably determines are appropriate.

LetSale does not guarantee that every report will result in removal or other enforcement action. You may not knowingly submit false or abusive reports for the purpose of harassing, targeting, or harming another user.

11. Suspension and Termination

LetSale may suspend, restrict, or terminate your account or access to all or part of the Service if we believe you:

Violated these Terms.
Violated applicable law.
Created an unauthorized or fraudulent sale.
Submitted materially false or misleading information.
Engaged in harassment, threats, fraud, or abuse.
Attempted to circumvent a previous suspension or termination.
Created a security or legal risk for LetSale or other users.
Otherwise engaged in conduct that we reasonably determine is harmful to the Service or its users.

LetSale may also remove or restrict User Content or listings that violate these Terms. Where appropriate, LetSale may take action without prior notice.

You may stop using LetSale at any time and may delete your account using the account-deletion functionality in the Service. Termination or suspension does not eliminate obligations that by their nature should continue after termination.

12. Account Deletion

You may request deletion of your LetSale account through the functionality provided in the Service or by contacting LetSale support. When you delete your account, it is immediately deactivated — your profile and listings are no longer visible or accessible to other users, your email address is deleted, and the account cannot be recovered or restored. LetSale may retain remaining underlying data for a limited period for internal analysis before it is anonymized, subject to:

Legal compliance.
Fraud prevention.
Security.
Dispute resolution.
Enforcement of these Terms.

13. Notifications and Communications

LetSale sends notifications using Firebase Cloud Messaging (web) and Apple Push Notification Service (iOS), including notifications related to boosts, joins, follows, account activity, security, reports, and other Service-related matters.

You can control notification permissions through your device settings and, where available, through LetSale's in-app settings. Certain communications may be necessary to provide, secure, or administer the Service and may continue even if you disable optional notifications.

14. Intellectual Property

The Service and its components — including LetSale's software, design, branding, logos, trademarks, graphics, text, and other materials provided by LetSale — are owned by or licensed to LetSale and are protected by applicable intellectual property laws.

Subject to your compliance with these Terms, LetSale grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service for its intended purpose.

You may not copy, reproduce, modify, distribute, sell, lease, reverse engineer, or otherwise exploit LetSale's proprietary materials except as expressly permitted by these Terms or applicable law. No rights to LetSale's intellectual property are granted except as expressly stated in these Terms.

15. License to User Content

You retain ownership of User Content that you submit to LetSale.

By submitting User Content, you grant LetSale a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, distribute, and otherwise use that User Content as reasonably necessary to operate, maintain, provide, and improve the Service. This license allows LetSale to display your listings and other User Content to other users as part of the Service.

LetSale may continue to retain or use User Content to the extent reasonably necessary for legal, security, backup, fraud-prevention, or other legitimate operational purposes, consistent with our Privacy Policy.

16. Privacy

Your use of LetSale is also governed by our Privacy Policy, which explains how LetSale collects, uses, stores, discloses, and otherwise processes information associated with your use of the Service. By using LetSale, you acknowledge that you have reviewed the Privacy Policy.

17. Third-Party Services

LetSale relies on third-party services to operate the Service, including Google Firebase (account authentication, database, and push notifications for the web app), Apple Push Notification Service and Apple mapping services (for iOS notifications and map pins), Google mapping services (for map pins), and Algolia (search indexing of sale listings). Third-party services are subject to their own terms and privacy policies. LetSale is not responsible for the independent acts, policies, availability, or content of third-party services except as required by applicable law.

18. Service Availability

LetSale is provided on an "as is" and "as available" basis to the maximum extent permitted by applicable law. We do not guarantee that:

The Service will always be available.
The Service will operate without interruption.
The Service will be error-free.
Defects will always be corrected.
User Content will never be lost.
The Service will be compatible with every device or operating system.
Information provided through the Service will always be accurate or current.

LetSale may modify, suspend, discontinue, or restrict any portion of the Service at any time. LetSale is currently offered only within the United States.

19. Disclaimer of User Content and Transactions

LetSale does not control or guarantee User Content. You are responsible for evaluating information provided by other users and making your own decisions regarding sales, items, locations, and interactions.

LetSale is not responsible for disputes between users or for the condition, legality, ownership, authenticity, safety, or availability of items advertised through the Service. Any purchase, exchange, negotiation, or other transaction between users is solely between those users.

20. Limitation of Liability

To the maximum extent permitted by applicable law, LetSale and Obed Salas will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to:

Your use or inability to use the Service.
User Content.
Sales or listings created by users.
Transactions or interactions between users.
Attendance at or participation in a sale.
Conduct of another user.
Loss of data or content.
Unauthorized access to an account.
Service interruptions or technical failures.

To the maximum extent permitted by law, LetSale's total liability arising from or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid LetSale for use of the Service during the twelve months preceding the event giving rise to the claim, or (b) $100.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

21. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless LetSale and Obed Salas from claims, liabilities, damages, losses, costs, and expenses, including reasonable legal expenses, arising from or related to:

Your violation of these Terms.
Your violation of applicable law.
Your User Content.
Your unauthorized or unlawful creation of a sale.
Your interactions or transactions with another user.
Your infringement or violation of another person's rights.
Your misuse of the Service.

This section does not require you to indemnify LetSale for LetSale's own conduct to the extent prohibited by applicable law.

22. Dispute Resolution

Any dispute arising out of or relating to these Terms or your use of LetSale should first be brought to LetSale through the contact information below so the parties can attempt to resolve the matter informally.

Governing Law: These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except to the extent applicable law requires otherwise.

Venue: Any court proceeding permitted under these Terms will be brought in Dallas County, Texas, unless applicable law requires another location.

23. Changes to These Terms

LetSale may modify these Terms from time to time. When we make changes, we may update the "Last Updated" date and, when appropriate, provide notice through the Service, by email, or through another reasonable method.

Your continued use of LetSale after updated Terms become effective constitutes acceptance of the updated Terms, to the extent permitted by applicable law. If you do not agree to updated Terms, you must stop using the Service and may delete your account.

24. General Provisions

Severability. If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law.

No Waiver.LetSale's failure to enforce a provision of these Terms does not constitute a waiver of our right to enforce that provision later.

Entire Agreement. These Terms, together with the Privacy Policy and any other policies expressly incorporated into these Terms, constitute the entire agreement between you and LetSale concerning your use of the Service.

Assignment.You may not transfer or assign your rights or obligations under these Terms without LetSale's prior written consent. LetSale may assign or transfer its rights and obligations in connection with a merger, acquisition, reorganization, sale of assets, or other transaction.

Relationship of the Parties. These Terms do not create a partnership, joint venture, employment, agency, or other similar relationship between you and LetSale.

Survival. Provisions that by their nature should survive termination of these Terms will continue to apply after your account or access to the Service ends, including provisions concerning intellectual property, User Content, disclaimers, limitation of liability, indemnification, dispute resolution, and other applicable provisions.
